These Terms of Service ("Terms") govern your access to and use of the Fieldbase platform, including the website at fieldbasehq.com and related applications (the "Service"), operated by Fieldbase LLC ("Fieldbase," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. The Service

Fieldbase is a workforce management platform for crew-based businesses. The Service may include features such as scheduling and dispatch, time and attendance tracking, team communication via SMS and in-app messaging, location tracking, crew management, auto-translation, and integrations with third-party services.

Features may vary by subscription tier and may change over time. We will provide reasonable notice of material changes to features included in paid tiers.

2. Accounts and Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us immediately at support@fieldbasehq.com if you suspect unauthorized access to your account.

Employer accounts may invite or create accounts for their employees and contractors. The employer is responsible for ensuring they have appropriate authorization to create accounts on behalf of their workers and to process their data through the Service.

3. Subscription Tiers and Payment

The Service is offered in multiple tiers, which may include free and paid options. Current pricing is available at fieldbasehq.com. For paid tiers: fees are billed in advance on a monthly or annual basis as selected at signup; all fees are non-refundable except as required by law; we may change pricing with 30 days' advance notice, with changes taking effect at the next billing cycle; and failure to pay may result in suspension or termination of access to paid features.

Free tier accounts are subject to usage limits as described on our pricing page and may be modified or discontinued with reasonable notice.

4. Acceptable Use

You agree not to:

  • use the Service for any unlawful purpose;
  • transmit any malicious code, spam, or harmful content;
  • attempt to gain unauthorized access to the Service or related systems;
  • interfere with other users' use of the Service;
  • use the Service to harass, threaten, or discriminate against any person;
  • reverse engineer, decompile, or disassemble any part of the Service;
  • use the Service in violation of any applicable labor, employment, or workplace safety laws;
  • resell, sublicense, or provide access to the Service to third parties without authorization.

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Data Ownership and Licensing

Your Data

You retain all ownership rights to the data you submit to the Service ("Customer Data"). Customer Data includes employee information, schedules, communications, time records, and other content you create or upload.

License to Us

You grant Fieldbase a limited, non-exclusive license to use, process, and store Customer Data solely to provide and improve the Service. This license terminates when your account is closed and your data is deleted.

Our Data

Fieldbase retains all rights to the Service itself, including its software, design, documentation, and any aggregated or anonymized data derived from use of the Service that cannot be used to identify any individual or customer.

Data Portability

Upon request during your subscription or within 30 days after termination, we will provide an export of your Customer Data in a standard machine-readable format. After the 30-day post-termination period, we may delete your Customer Data.

6. SMS/Text Messaging Terms

Fieldbase offers SMS/text messaging services to facilitate workforce communication between employers and their team members.

Program Description

When you create a Fieldbase account and consent to receive text messages, you may receive messages about work assignments, schedule changes, shift reminders, and team communications. Messages are sent by your employer through the Fieldbase platform.

Message Frequency

Message frequency varies based on your work schedule and team activity.

Message and Data Rates

Message and data rates may apply. Check with your mobile carrier for details.

Opt-Out

You can opt out of receiving text messages at any time by replying STOP to any message. You will receive a confirmation message and will no longer receive texts from Fieldbase. To opt back in, reply START.

For help, reply HELP to any message or contact us at support@fieldbasehq.com.

Carriers

Carriers are not liable for delayed or undelivered messages.

Employer Responsibilities

If you are an employer using the Service to communicate with your workforce via SMS, you are responsible for ensuring you have obtained appropriate consent from your employees or contractors to receive messages through the platform. Fieldbase provides tools to facilitate consent capture, but compliance with applicable telecommunications laws (including the Telephone Consumer Protection Act) as they relate to your employee communications is your responsibility.

7. Location Tracking

The Service may include location tracking features. If you are an employer enabling location tracking for your workforce, you are responsible for:

  • notifying your employees that location tracking is in use,
  • obtaining any required consent under applicable law,
  • complying with applicable workplace monitoring laws in your jurisdiction, and
  • using location data only for legitimate business purposes.

Fieldbase provides the technology platform; the employer is responsible for its lawful use within their organization.

8. Privacy

Your use of the Service is also governed by our Privacy Policy. The Privacy Policy describes how we collect, use, and protect your information.

9. Third-Party Services

The Service may integrate with third-party services. Your use of third-party services is subject to their respective terms and privacy policies. Fieldbase is not responsible for the availability, accuracy, or practices of third-party services.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FIELDBASE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIELDBASE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO FIELDBASE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

IN NO EVENT SHALL FIELDBASE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF WHETHER FIELDBASE WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

12. Indemnification

You agree to indemnify, defend, and hold harmless Fieldbase and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: your use of the Service; your violation of these Terms; your violation of any applicable law; your Customer Data; or your infringement of any third party's rights.

13. Dispute Resolution

Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in the State of Wyoming. Each party shall bear its own costs, with arbitration fees shared equally.

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

CLASS ACTION WAIVER: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

14. Termination

You may cancel your account at any time through the Service or by contacting support@fieldbasehq.com.

We may suspend or terminate your account if:

  • you violate these Terms;
  • your payment is overdue for more than 15 days;
  • you engage in activity that could harm the Service or other users;
  • we are required to do so by law.

Upon termination, your right to use the Service ceases immediately. Sections related to data ownership, limitation of liability, indemnification, and dispute resolution survive termination.

15. Changes to These Terms

We may update these Terms from time to time. We will provide at least 30 days' notice of material changes via email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

16. General Provisions

Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.

Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Fieldbase regarding the Service.

Assignment

You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
